Terms of Business

Last Updated: April 2026

These Terms of Business set out the agreement between Dynumo Ventures Limited (“Dynumo”, “I”, “me”, or “my”) and you (“the Client”, “you”, or “your”). By paying a deposit, paying an invoice, or instructing me to begin work, you agree to these terms.

My goal is to keep things simple, transparent, and focused on building great digital solutions. These terms ensure we both know where we stand.

1. Scope of Work & Revisions

The specific details, deliverables, and costs for your project will be outlined in a separate Statement of Work (SOW), Proposal, or Invoice.

  • Scope Creep: If you request features, pages, or integrations outside the original agreed scope, I am happy to accommodate them. These will be quoted and billed separately at my standard hourly or day rate.
  • Revisions (Web & App Design): Unless otherwise specified in your SOW, fixed-price projects include up to two (2) rounds of revisions per milestone. Additional revisions will be billed at my standard hourly rate.

2. Fees & Payment Terms

  • Payment Terms: Invoices are strictly payable within 14 days of issue unless otherwise stated.
  • Deposits: For web development, app development, and custom software projects, a non-refundable deposit (typically 50%) is required before work begins.
  • Late Payments: I reserve the right to suspend ongoing work, take websites offline, or disable automations if invoices remain unpaid 7 days after the due date.

3. Intellectual Property (IP) & Ownership

  • Upon Full Payment: Once your final invoice is paid in full, you own the final deliverables (e.g., your website frontend, custom app interface, or final brand assets).
  • Pre-existing Code & Libraries: As an experienced developer, I use my own pre-existing code repositories, frameworks, and workflows (including specific LangGraph agents or Make.com blueprints) to build your project efficiently. I retain the IP for these foundational elements. You are granted a perpetual, non-exclusive license to use them as part of the final product I deliver to you.
  • Non-Payment: If a project is cancelled or invoices go unpaid, Dynumo Ventures Limited retains full ownership of all code, designs, and IP produced during the project.

4. Specific Service Conditions

Because I offer a wide range of technical services, the following conditions apply to their respective projects:

A. AI Solutions & Workflow Automation

  • Third-Party APIs: Custom AI agents and automations rely on third-party tools (e.g., OpenAI, Anthropic, Make.com, Stripe). I am not liable for downtime, API changes, or cost increases instituted by these third parties.
  • AI Output & Hallucinations: Large Language Models (LLMs) can produce inaccurate, biased, or unexpected outputs (“hallucinations”). While I design robust systems (like RAG pipelines) to mitigate this, you acknowledge that AI is not infallible. You are solely responsible for human oversight of AI-generated content or automated actions before they impact your business or customers.

B. Web Design, App Development & Shopify

  • Client Content: You are responsible for providing the text, images, and legal documents (like Privacy Policies) for your site on time. Delays in providing content will delay the project timeline.
  • Ongoing Maintenance: Once a site or app is launched and handed over, you are responsible for its security and updates unless you enter into a separate hosting and maintenance agreement with me.

C. Technical Advisory & Training

  • Consultative Nature: My advisory services provide technical and strategic guidance based on my experience. The final decision to adopt software, restructure architecture, or implement strategies rests entirely with your business. I am not liable for the commercial outcomes of those decisions.

5. Termination & The “Kill Switch”

  • Mutual Cancellation: Either party may terminate a rolling monthly agreement (like advisory retainers or hosting) with 30 days written notice.
  • Project Cancellation: If you cancel a fixed-price project midway, you will be billed for the work completed up to that point. Deposits are non-refundable.
  • Unresponsiveness: If a project stalls for more than 30 days due to a lack of feedback or content from you, I reserve the right to pause the project and invoice for the work completed to date. Restarting the project will be subject to my availability and a reactivation fee.

6. Limitation of Liability

To the maximum extent permitted by law, Dynumo Ventures Limited’s total liability for any claim arising out of this agreement—whether in contract, tort, or otherwise—shall not exceed the total amount paid by the Client to Dynumo for the specific project or service in question. I am not liable for any indirect, consequential, or special damages, including lost profits, lost data, or business interruption.

7. Governing Law

These terms are governed by the laws of Northern Ireland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
